Terms of Service

1. Acceptance of Terms

By accessing or using StackTrack (the "Service") operated by StackTrack Inc. ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.

2. Description of Service

StackTrack is a private software research and stack-management platform that allows users to track software tools, maintain decision notes, discover community signals, and capture trade-show and vendor interactions. The Service may include both free and paid tiers.

3. Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide during registration is accurate and complete.

4. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at legal@stacktrack.io if you suspect unauthorized access to your account.
  • We reserve the right to terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Scrape, crawl, or extract data from the Service without our express written consent
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service to send unsolicited communications (spam)
  • Interfere with or disrupt the integrity or performance of the Service

6. User Content

You retain ownership of content you create within StackTrack (notes, ratings, contacts, projects, etc.). By submitting content, you grant us a limited, non-exclusive, royalty-free license to store and display that content solely for the purpose of providing the Service to you.

When you contribute to community signals (ratings, pros/cons, integration data), you agree that this information may be anonymized and aggregated for display to other users. No community contribution is attributed to your individual account in any public context.

You are solely responsible for the content you create. We do not endorse any user content and are not liable for content created by users.

7. Intellectual Property

The Service, including its design, software, trademarks, and content created by us, is owned by StackTrack Inc. and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of our intellectual property to you.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g., software catalogs, trade-show directories). We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their respective terms and policies.

9. Paid Plans & Billing

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you authorize us to charge the payment method on file on a recurring basis at the then-current rate. All fees are non-refundable except as required by law or as explicitly stated in a refund policy we publish.

We reserve the right to change pricing with at least 30 days' notice. If you do not accept a price change, you may cancel your subscription before it takes effect.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STACKTRACK INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless StackTrack Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your user content, or your violation of these Terms.

13. Termination

You may terminate your account at any time by contacting us or through the account settings. We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice, except where immediate termination is necessary to protect the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
